          Capell & Howard's business and corporate practice covers a broad range of organizing, financing, and operating corporations, partnerships, limited liability companies, and other business entities. A majority of the Firm's business clients are closely-held, for profit companies. However, the Firm has substantial experience with the representation of publicly-held companies in a variety of transactions. The Firm's clients also include non-profit corporations, foundations, and other charitable organizations.

          The Firm's securities practice includes the representation of issuers, purchasers, underwriters, and other persons in connection with public offerings and private placements of debt and equity securities and institutional and governmental financing. The Firm advises clients with respect to securities reporting and other regulatory matters, including representing persons before the Securities and Exchange Commission and the Alabama Securities Commission.

          A corollary to the Firm’s securities practice is its representation of persons involved in public and private financing, including tax-exempt and taxable bond issues. The Firm is listed in the so-called Red Book and has acted as bond counsel and counsel to issuers and underwriters in state, municipal, and industrial development bond offerings.

          The Firm regularly represents purchasers or sellers involved in mergers and acquisitions. The Firm's attorneys have significant experience in a variety of complex reorganizations and business combination transactions. For example, the Firm has acted as securities and corporate counsel in transactions as large as several hundred million dollars.

          The Firm advises business and individual clients in connection with their intellectual property rights. Although the Firm’s practice in this area is limited to certain types of matters, the Firm has established relationships with law firms specializing in trademark, copyright, and patent law. Consequently, Capell & Howard has the capability to assist clients, sometimes in association with another firm, in this important area of their business.
